Sinclair Draws Scrutiny Over Growth Tactic


TV-Station King Uses "Sidecars" to Skirt Ownership Limits


COLUMBUS, Ohio—A modest brick building surrounded by parabolic dishes here by the Scioto River sports three signs: WSYX, WTTE, WWHO.

Federal law requires these television stations to have separate owners, and they do. But one company runs all three to a significant degree, in a type of arrangement that regulators allow but is drawing fire from critics of media consolidation as big broadcasters use it to expand their reach.

In the brick building, one general manager and one sales director run all the stations, which share operations staff. Most staff report to Baltimore-based Sinclair Broadcast Group Inc., which owns WSYX but runs many aspects of all three and collects most of their revenue

The two stations Sinclair doesn't own are controlled by former bankers to its chief executive, David Smith; one was controlled by his mother until she died last year.

Federal Communications Commission rules tracing to the 1940s prohibit anyone's owning more than one TV station in a market like Columbus'. But Sinclair can run major aspects of all three because of an approach the FCC allowed 22 years ago that lets a company manage stations it doesn't own. Companies that outsource station management are sometimes called "sidecars."

Sinclair is America's biggest station owner and operator, thanks in part to sidecar agreements.Gannett Co. and TribuneCo. have proposed to expand, in part, through sidecar agreements, which have become widespread in the industry.

Opponents of media consolidation say broadcasters use sidecar agreements as loopholes that let them violate the spirit of FCC ownership rules, which the agency says promote "competition, localism and diversity."

When one owner manages multiple stations in a market, they say, it reduces local-news quality and variety, and drives up pay-TV bills.

The FCC allowed these agreements to help struggling stations reduce costs, not to help companies gain turf, says former FCC Commissioner Michael Copps, a consolidation critic. "This is a shell game and an end run around the media-ownership rules."

The FCC, as part of its regular review of media-ownership rules, has asked for comment on its sidecar policy, an FCC spokeswoman says. Former FCC-Chairman Julius Genachowski, before he stepped down this spring, privately pushed for stricter rules for sidecar agreements, say people familiar with his proposals. Mr. Genachowski didn't respond to requests for comment.

Some broadcasters have recently seen Justice Department inquiries for deals including such agreements. Anticonsolidation groups and cable operators have petitioned the FCC to block acquisition plans that include operating nonowned stations. And the Government Accountability Office has begun to study competitive effects of these agreements.

The Columbus stations show how sidecar deals work. In the glass-encased lobby, side-by-side TV screens show programming from two of the stations. Fox and ABC news vans share the parking lot. The Sinclair-owned WSYX, an ABC affiliate, runs significant aspects of WTTE, a Fox affiliate owned by Cunningham Broadcasting Corp. Sinclair's WSYX news anchors here also appear on WTTE newscasts.

"We share our news backroom and reporting talent," says Sinclair Chief Financial Officer David Amy. He says the structure boosted news viewership and that "the beneficiaries of that have been the viewers."

Mr. Amy says most staff running the stations report to Sinclair.

Sinclair has used similar sidecar agreements as it expands nationwide. Including pending deals, it has agreed to run 45 stations it doesn't own, in addition to the 118 it will fully own.

Sinclair's critics say its use of sidecars blazed a trail. "The fact that the FCC didn't crack down on Sinclair is an indication to the rest of the industry that it's a model it can exploit," says Craig Aaron, CEO of Free Press, an anticonsolidation advocacy group.

The Justice Department this year reviewed Sinclair's plan to sell WSYT in Syracuse, N.Y., to Cunningham to meet FCC ownership limits. The review led Sinclair to abandon the deal, Sinclair and Cunningham executives say.

In September, the American Cable Association, Free Press and Jesse Jackson's Rainbow PUSH Coalition asked the FCC to block all or parts of Sinclair's $985 million agreement to buy Allbritton Communications Co.'s eight TV stations, objecting to Sinclair's plans to sell some overlapping stations to buyers close to Sinclair. The FCC's response is pending. Sinclair declined to comment on the matter.

This month, Sinclair said it received a so-called second request for information from the Justice Department on station deals in two markets—part of its Allbritton acquisition—where advocacy groups objected to sidecar arrangements. Sinclair and Allbritton declined to comment on the request.

Advocacy groups and pay-TV concerns such as Time Warner Cable Inc. and DirecTV Group Inc. petitioned the FCC to block some station transfers in Gannett's $1.5 billion agreement to buy BeloCorp.'s 20 stations and Tribune's $2.7 billion agreement to buy Local TV LLC's 19 stations, alleging that they were using "shell" companies to skirt ownership limits. Belo declined to comment.

Gannett and Belo said in August that the Justice Department made a second request for information on their deal. Gannett and Tribune spokesmen say their deals meet FCC rules.

Sinclair's Mr. Smith says that FCC ownership rules are "crystal clear" and that Sinclair obeys them. "I can walk right up to that line and look right at that line," he says. "I have no hesitation about doing that—philosophically, intellectually or otherwise."

The sidecar debate is riding a consolidation wave in broadcast TV, in which a half-dozen owners have committed most of the $10 billion involved in broadcast-TV acquisitions in the past year and a half, according to SNL Kagan, a research concern. Driving the consolidation are growing fees that cable and satellite-TV companies must pay to carry broadcasters' signals. A broadcaster that runs more stations has more muscle to negotiate these fees.

Another driver: the tech onslaught. Local television remains Americans' primary news source. But local-TV viewership among adults under 30 fell to 28% in 2012 from 42% in 2006, according to Pew Research Center.

Sinclair's Mr. Smith says broadcasters compete with Web, cable, satellite and phone companies in ways that FCC rules never anticipated. Deals with nonowned stations level the playing field somewhat, he says.

Running more stations lets Sinclair reduce costs by eliminating overlapping jobs and facilities, says Mr. Amy, Sinclair's CFO. Sinclair also gets more clout in negotiating programming-licensing deals and retransmission fees.

Wall Street has cheered the consolidation, which helped Sinclair's revenue grow 26% in its 2013 first half, driving its stock price up nearly threefold this year.

Mr. Smith and his brothers founded Sinclair in 1986 with a strategy that would turn the Baltimore TV station their father started into a consolidating force. An obstacle: From television's early days, the FCC let a broadcaster own only one station in a market.

Sinclair found a work-around. In 1991, it borrowed an arrangement the FCC already allowed to help struggling radio stations: One station could run significant aspects of another in a market without owning it. The FCC reviewed Sinclair's plan and allowed it to proceed.

In 2001, PUSH argued that Sinclair illegally controlled Glencairn. The FCC ruled that "Sinclair exercised de facto control over Glencairn" in violation of the Communications Act, but determined it wasn't likely such violations would continue, given Ms. Smith's assumption of control from Mr. Edwards. It allowed the acquisitions, fining Sinclair and Glencairn $40,000 each. The FCC cited, among other things, Mr. Edwards's inaccurate memory of some financial details, which Mr. Edwards calls "an oversight." Sinclair's Mr. Amy declined to comment on the matter.

Glencairn later changed its name to Cunningham, a family name with rich resonance for Mr. Smith. Among his holdings is a group of Baltimore restaurants that get supplies from his Cunningham Farms, located on a 200-acre estate, Cunningham Manor.

Sinclair is similarly intertwined with Manhan and Deerfield, owned by Mr. Mumblow. Mr. Mumbow says he named them after rivers near his Christmas-tree farm but declines to discuss their business relationships with Sinclair.

Deerfield owns, or has agreed to buy, 12 stations Sinclair helps run. Sinclair guarantees Deerfield's debt and consolidates Deerfield's results on its balance sheet, filings show.

Among Sinclair's recent sidecar deals is with Howard Stirk Holdings, owned by conservative commentator Armstrong Williams. It agreed this year to buy three stations Sinclair would run. Sinclair is guaranteeing the deals' financing.

Mr. Williams, an African-American, praises Sinclair for giving minorities the opportunity to own stations. "There is a closeness between Howard Stirk and Sinclair because David Smith is one of my best friends in the world," he says.

Relations were too close in one case. When Sinclair this year had to divest WSYT, the Syracuse station, it hoped to sell to Howard Stirk, Mr. Williams says, but the Justice Department "said it wouldn't work," because "it would still be like a duopoly."

Sinclair also abandoned efforts to sell WSYT to Cunningham, choosing another buyer after Justice Department resistance, says Cunningham's Mr. Anderson. "They were not comfortable yet," he says, "and in the interest of time, Sinclair went to Plan B."

The LW has ABC, NBC, CBS, CNN, MSNBC on television, including both fictional and nonfictional entertainment, all daytime television talk shows, the large news and opinion magazines like Time and The New Yorker, the big publishing houses of books and other magazines, the near entirety of Hollywood and the music business, the largest newspapers in the country including NYT, WaPo, most of the other big urban newspapers in Phila, Boston, Chicago, LA, etc., and scads of LW union label PR sites like Slate, Salon, Huffington Post, Rawstory, The Nation, Mother Jones, Jezebel, politicusa, many more.

Basically, RW media is an inconvenient flea on the LW media elephant. They can't STAND even the slightest dissent because their "ideology" is all resentment, victimologies, and paper thin "social justice" airheadedness, no rational policy other than constant offendedness and whining, goes down like a $5 hwore under scrutiny, a burnt up vampire in when dragged from the crypt. So they concoct all manner of deflection, lie narratives and echo chamber fodder about "evil conservative media taking over," when what they are really exhibiting is their thinly veiled censorious side. They'd love to ban Fox News and talk radio outright, can't do that, so go after the internet where they still have a chance to censor, shut heretics up, shout them down.

Back in the old days, talk radio used to have more of a balance, where Liberals had a chance to have their say with one or two hosts allowed to have a show. Now, since most shows are syndicated, right wing companies like Clear Channel, have bought Liberal stations turning them all conservative with right wing syndicated programming.

Companies like Clear Channel are making huge money off right wing talk. Do you think right wing companies aren't going to tap into television business and buy up market affiliates and turn them right wing too for profits? Of course they are. Sinclair has done it broadcasting their biased local conservative news to all it's local ABC, CBS, NBC affiliates. Fox, Gannett, Tribune with Meredith, Cox, and Gray own and control the most TV Stations in the U.S. who all are conservative buying up Liberal stations to promote right wing propaganda locally.

How Conservatives Dominate TV/Radio Talk Game

The end of progressive talk in Los Angeles underscores the advantage conservatives hold

In the 2012 presidential election, Barack Obama garnered almost 69% of the vote in Los Angeles County, vs. 29% for Mitt Romney. Yet beginning Jan. 1, the U.S.’ second-largest media market lacks a dedicated progressive talk radio station, as KTLK-AM became the Patriot, espousing “True American values,” anchored by Rush Limbaugh.

The biggest pressures squeezing liberal talk radio are commercial ones. Deregulation of the airwaves allowed conglomerates like Clear Channel to borrow billions from Wall Street and begin buying up stations by the hundreds. Saddled with debt, Clear Channel has ruthlessly standardized its 840 stations and squeezed each for maximum profit. That meant eliminating progressive talk from its stations in Los Angeles, San Francisco and Portland.

Bye-Bye Progressive Radio in Los Angeles

On Jan. 2, 2014, Los Angeles' only liberal AM radio station -- KTLK AM 1150 -- was re-branded as a "hard-right conservative" station, according to station content director, David Perez. Clear Channel Communications, which owns over 9,000 US radio stations, is making a move that further homogenizes local talk radio: the L.A.-Orange County area already has four other conservative talk-radio stations.

"Basically, this is all about ratings and branding," Perez said. He explained that the current KTLK never really established its branding, which explains why listener ratings are lower compared to conservative talk radio, he said. He was not able to provide specific ratings figures by press time, only to say that he or someone else from the station would supply these figures later. That call back never came.

When reviewing the ratings for the other conservative talk-radio stations in Los Angeles, you will find that all of the other stations (AM 790 KABC, AM 870 KRLA, and AM 980 KFWB) have ratings that are very close to KTLK's numbers. It should be noted here that KFWB bills itself as a "news" station, which ought to attract even more listeners. But KFWB's numbers barely surpass KTLK's. Also, anyone who listens -- and who has access to a wide variety of information sources -- can easily identify KFWB's conservative position.

It is no coincidence that Clear Channel is also rebranding the only progressive AM station left in San Francisco. And Clear Channel's ratings claim is as weak there as it is in Los Angeles. When asked about the rebranding, coming 11 months before a mid-term election where progressive are running very strong, Clear Channel's Perez said they do not make operating decisions based on politics.

Clear Channel to Remove L.A. and San Francisco's Only Commercial Progressive Talk Radio Stations, Replace Them with More Right wing Talk

The largest media market in the world is about to lose its only non-Right wing commercial talk radio station. Los Angeles' KTLK 1150 am will be flipped to a far Right wing station featuring hosts like Rush Limbaugh, Sean Hannity, Glenn Beck and other right wing talkers. "The changes are set to take effect for the first broadcast of 2014," according to the Los Angeles Times this afternoon.

KTLK is owned by Clear Channel Communications, Inc., the nation's largest owner of radio stations. Clear Channel is now owned by Mitt Romney's Bain Capital LLC. The talkers mentioned above who will be taking over the previously-progressive station are also syndicated by Clear Channel-owned Premiere Networks, the largest radio syndicator in the nation. The BRAD BLOG has long argued that the outsized control of our public airwaves enjoyed by Clear Channel/Premiere and a handful of other conglomerates --- including their ability to leverage our public airwaves (licensed from we, the people, in exchange only for their promise to serve the public interest) to distribute their own syndicator's shows --- is a likely violation of U.S. v. Paramount, the 1948 anti-trust Supreme Court decision which found that the major movie studios could not also control the means of distribution by owning the nation's largest theater chains at the same time.

As if ending progressive talk radio in L.A. isn't bad enough, Clear Channel will now also reportedly be flipping its formerly progressive San Francisco talk station KNEW 960 am (a move which they had threatened and then partially changed their mind about flipping in late 2011), over to a completely Right-leaning station as well, says the Times. That will leave San Francisco, arguably the most progressive city in the nation, without any commercial progressive talk radio outlet at all. But, as in L.A., listeners will still have many different Right-leaning talks outlets on our public airwaves to choose from, several of them owned by the same major corporation.

Right Wingers like dasein live in denial, listening to right wing conservatives telling him there is a "Liberal Media", and he just believes whatever they tell him without knowing the facts.

The facts are, right wing companies like Sinclair, Gannet, Gray, Tribune, Cox, Fox have a monopoly on ABC NBC, ABC affiliates. Dasein can offer no actual proof of a "Liberal Media", but when you show him the facts of who owns it, he denies it and claims it's not true.

There is no Liberal TV group in the country that runs biased programming against conservatives or showcases biased commentaries on their local news broadcasts. Conservatives are doing that on local TV, and they cannot claim there is a "Liberal Media", when conservatives are controlling the content on their ABC, NBC, CBS local news affiliates.

This article clearly shows the Conservative bias that Sinclair is running on their ABC, NBC, ABC affiliates promoting conservative candidates. No Liberal group is doing this for Liberals on their TV stations. You can deny it all you want, but the facts are there. Also, if the media was so "Liberal", ABC, NBC, CBS wouldn't have denied President Obama prime time coverage of his address to the nation on his Executive Order for Immigration. They would have easily given him full coverage. I guess dasein and the other right wingers can't see the clear conservative media bias below.


Sinclair Broadcast Group gives a possible presidential contender a microphone

Despite signs that he is considering a run for president, retired pediatric surgeon Ben Carson continues to be showcased on TV stations owned by the conservative-leaning Sinclair Broadcast Group., including Washington’s WJLA ABC Affiliate.



Fox News cut its ties with famed surgeon and conservative political commentator Ben Carson in November, when it appeared that Carson would soon declare his candidacy for president. But the still undeclared Carson continues to have a TV home thanks to another conservative media company, Sinclair Broadcast Group.

On Monday, Carson was a panelist on a televised “town hall” about race relations. The one-hour discussion program was produced by Arlington, Va.-based WJLA, the largest of Sinclair’s chain of TV stations, and aired onNewsChannel 8, the regional cable news channel. But the program’s reach was much wider than the Washington area: Sinclair streamed or broadcast the program on stations it owns in 78 markets, giving Carson a national presence.

Carson appeared on another Sinclair-produced town hall in October, this one about the national response to the Ebola outbreak. The program was produced by WJLA and also carried across the country on Sinclair stations.


The two appearances bookended Carson’s splashiest TV appearance to date — an hour-long autobiographical promotional film that aired in early November and touched off speculation that Carson would soon declare his candidacy. The program, called “A Breath of Fresh Air, A New Prescription for America,” was also carried by Sinclair’s stations. WJLA even ran a commercial announcing Carson’s infomercial, in effect airing an ad promoting a program-length ad.

Scott Livingston, Sinclair’s vice president of news, said that Carson was invited to be on the two panels because he “offers a unique, fresh perspective on the issues. He has always been on panels with multiple viewpoints. Our goal is to offer a wide range of views.”

Carson, a favorite among some tea party activists, is politically in step with Sinclair’s chief executive,David D. Smith, and Smith’s extended family, which controls Sinclair, the largest owner of TV stations in the nation. The Smith family has been a major contributor to Republican candidates. Democrats have charged that the company has used its stations to boost Republican candidates at the expense of Democrats.

Carson retired as the world-renowned head of pediatric surgery at Johns Hopkins Hospital in Baltimore in 2013. Sinclair is headquartered in the Baltimore suburb of Hunt Valley.

Although he has made no formal declaration, Carson has begun adding staff in Iowa, the first state in the Republican nominating contest next year, an indication that he is moving closer to announcing a campaign.

The Carson infomercial was produced by a company run by conservative media personality Armstrong Williams, which paid Sinclair an undisclosed fee for the airtime. Williams is Carson’s business manager.

Williams and Sinclair, meanwhile, are longtime business partners. In December, Sinclair completed the sale of three TV stations in South Carolina and Alabama to a company owned by Williams. He purchased two other stations from Sinclair in 2013 and has produced and hosted public-affairs discussion programs that have aired on Sinclair’s stations for nearly two decades.

Williams, too, has appeared in Sinclair’s nationally distributed town halls, most recently in early December, in another discussion about race relationsin the wake of the shooting of a young African American man by a white police officer in Ferguson, Mo.

Before the racial relations and Ebola town hall broadcasts, Carson appeared on two other panels hosted by Sinclair stations.

WBFF in Baltimore produced one in April 2013 about “the proper role of government.” At another in Florida hosted by Williams in April, Carson tore into liberals and their attempt to “divide and control” people. “If you are pro-life, then [they label you] anti-woman,” he said. “If you’re pro-traditional marriage, then you’re homophobic. If you’re a white person and you say something against a progressive black person, you’re a racist.” He blamed “neo-Marxist literature” for fomenting class warfare and “the destruction of the family.”

Carson and Williams did not respond to requests for comment.

Since taking over WJLA and other stations owned by Allbritton Communications of Arlington in August, Sinclair has gradually added conservative features to the station’s newscasts, such as commentary by Sinclair executive Mark Hyman and a weekly segment produced in conjunction with the editorially conservative Washington Times. It has also replaced most of the station’s top managers and news executives.

The company has been on an extraordinary growth binge in recent years. Over the past three years, it has announced or closed acquisitions that have nearly tripled its TV station holdings. It now owns or manages 162 stations.

It has also drawn criticism from Democrats about news programs that were critical of Democrats but went easier on Republicans.

Sinclair stations in several battleground states aired a ­corporate-produced half-hour news “special” on the eve of the 2012 election that faulted President Obama for his handling of the economy, his signature health-care law and the administration’s management of the terrorist attack on the U.S. Consulate in Benghazi, Libya. Republican candidate Mitt Romney was not similarly criticized.

E.W. Scripps to Buy TV Stations in Detroit, Buffalo


E.W. Scripps (SSP) said Monday it agreed to buy two television stations in Detroit and Buffalo, N.Y., from Granite Broadcasting for $110 million in cash.

The company, whose portfolio includes local newspapers and 19 TV networks, is acquiring an ABC affiliate in Buffalo, WKBW, and a MyNetworkTV affiliate in Detroit, WMYD. Scripps already owns an ABC affiliate in Detroit, the company’s largest station.

Scripps has been under pressure from a decline in print advertising, leading the Cincinnati-based media company to cut costs and strengthen its focus on digital media.

The deal with Granite Broadcasting will give Scripps 11 ABC affiliates across the country that reach 12% of all U.S. households, the largest reach among station groups. Scripps’ total market reach will be nearly 14% once the acquisition is completed, which is expected in the second quarter.

Scripps also signed a time-brokerage agreement to provide Granite Broadcasting with daily programming for Detroit’s WMYD until the transaction closes.

“These stations in Detroit and Buffalo will contribute strong cash flow to our core business, expand our reach in one of our best markets, and expand our TV footprint in partnership with ABC,” said Rich Boehne, chairman and CEO of Scripps.

Owners that lean right and contribute to right wing campaigns are directing the purchases of media arms. And they then choose to employ those who will push a certain message. So again, yes the right is buying up TV land just like they did with radio land (Clear Channel).

Dislike whats said all you want, and do all the little grade school name calling you want, but facts are facts. This all said, it really matters not the political composition of cable news and radio media...as internet media is where most people get their news nowadays.

Go to the Sinclair wiki page and it's not hard to determine Sinclair is targeted for NOT toeing the Network party line in every instance. Big Brother doesn't like this, hence the campaign that conservative Sinclair is "hoarding up" stations and making media "conservative." A perusal of the wiki page will tell you the few instances for heat against Sinclair, and critical reading will separate truth from fiction.

Ironically the inroads that Fox (not Fox News), CW, WB, TBS, TNT Spanish language and other networks have obtained over the last three decades against the Big Three evidences the LW slant of the Big Three, which still have 30% market share. People were sick to death of partisan television and partisan Big Three news. Fox doesn't even carry national news, Fox News is separate, and has made its inroads on nonpartisan entertainment like The Simpsons, In Living Color, X Files, King of the Hill, American Idol, Glee, New Girl, lots of sports programming, etc. YET THEY ARE OWNED BY MURDOCH. WHY ISN'T MURDOCH INFLUENCING FOX BROADCASTING if media has become "conservative?" Tell us all about some RW themes in The Simpsons or New Girl or Glee, I'm all ears.

Media as a whole is still overwhelmingly LW leaning.

Come on now... the Media Research Center is politically conservative. This is well known and documented. Could you at least have provided a non-biased source? Using websites and articles that are from right leaning sources doesnt add much to the conversation anymore than if I ran and grabbed information from left leaning sources.

Absolutely, I happen to watch Sinclair programming Embers speaks of and the local news leave alone national never presents any conservative content at all and mostly sticks to a liberal narrative content. And I don't need to mention ABC, NBC and CBS non-news programming. OKay I'll concede that Fox/ABC does present Armstrong Williams-a moderate black commentator. Boo hoo hoo. One "conservative" black commentator program on one station versus a constant liberal narrative all the time on the rest.

Besides, as you mentioned, there's really nothing "conservative" about today's corporations. Anything not full blown liberal, left-wing democrat or even Marxist/socialist/communist Embers labels "conservative".

The nonpartisan -studies- cited in the article I linked are the substance demonstrating LW bias in media voting, not MRC itself or any claims MRC is making about those studies other than summaries. That should have been clear.
